Contributor Terms & Conditions

These Contributor Terms & Conditions ("Terms") govern the relationship between Color Space (Pty) Ltd, a company incorporated in the Republic of South Africa ("Color Space", "we", "us", or "our"), and any individual or entity that submits, uploads, or licenses content through the Color Space platform ("Contributor", "you", or "your").

By uploading or submitting any content to Color Space, you agree to be bound by these Terms.


1. Definitions

  • "Content" means any photograph, illustration, vector, video, or other media submitted by a Contributor.

  • "License Fee" means the net amount actually received by Color Space for the licensing of Content, excluding VAT, refunds, chargebacks, payment processing fees, and taxes.

  • "Net Revenue" means the License Fee after permitted deductions.

  • "Subscription" means a recurring plan that allows a fixed number of downloads per billing period.


2. Ownership & Rights

2.1 Contributors retain full copyright ownership of their Content.

2.2 By submitting Content, you grant Color Space a non-exclusive, worldwide, royalty-bearing, sublicensable licenseto host, reproduce, distribute, display, market, and license the Content through the Color Space platform.

2.3 You warrant that:

  • You are the sole owner of the Content or have full rights to license it;

  • All necessary model, property, and intellectual property releases have been obtained;

  • The Content does not infringe any third-party rights or applicable laws.


3. Royalty Rate

3.1 Royalty Percentage
Color Space shall pay the Contributor a royalty equal to sixty percent (60%) of the Net Revenue received by Color Space for each licensed download of the Contributor’s Content. Color Space shall retain forty percent (40%).

3.2 Pay‑Per‑Download Licenses
Where Content is licensed on a pay‑per‑download basis, the Net Revenue shall be the actual license fee paid by the customer for that individual download, excluding VAT, refunds, chargebacks, and taxes. The Contributor shall receive 60% of this Net Revenue.

3.3 Subscriptions
Where Content is downloaded as part of a Subscription, the Net Revenue attributable to each download shall be calculated by allocating the applicable subscription fee across the total number of downloads included in that subscription for the relevant billing period.

The Contributor’s royalty for each subscription download shall be calculated as:

(Subscription Fee ÷ Total Monthly Download Allowance) × 60%

This allocated per‑download value shall apply uniformly to all downloads made during that billing period, regardless of when the downloads occur.

3.4 No Guaranteed Earnings
Color Space makes no guarantees regarding the number of downloads, earnings, or revenue a Contributor may generate.


4. Payments

4.1 Royalties are calculated monthly and become payable once a Contributor reaches a minimum payout threshold of R100.

4.2 Payments are made via electronic funds transfer or other supported payment methods.

4.3 Contributors are responsible for any taxes arising from royalty payments.


5. Pricing & Promotions

5.1 Color Space reserves the right to:

  • Set and modify pay‑per‑download license prices;

  • Offer subscription plans with defined download limits;

  • Apply discounts or promotional pricing at its discretion.

5.2 Any discounts or promotions shall proportionally affect both Contributor royalties and Color Space’s share, calculated on the Net Revenue actually received.


6. Content Review & Removal

6.1 Color Space may review, reject, suspend, or remove Content at its sole discretion.

6.2 Contributors may request removal of Content; however, previously licensed Content shall remain valid for existing customers.


7. Termination

7.1 Either party may terminate this agreement upon written notice.

7.2 Upon termination, unpaid royalties accrued prior to termination shall remain payable subject to the minimum payout threshold.


8. Limitation of Liability

To the maximum extent permitted by law, Color Space shall not be liable for indirect, incidental, or consequential damages.


9. Governing Law

These Terms are governed by the laws of the Republic of South Africa.
